FCS Financial is seeking a Assistant General Counsel and Vice President, Loan Services to join our Legal and Loan Services Teams!  This position leads the staff of the Loan Services Department which includes Loan Closing, Loan Servicing, and Loan Finaling Activities in supporting loan origination, loan administration, legal loan contract and regulatory issues. This position also supports the General Counsel on other Association Legal matters and provides legal support to association departments as directed. The successful candidate should also be pro-active, analytical, collaborative, and able to make independent decisions.

Responsibilities/Duties

40% Loan Document Preparation and Review
  • Leads the Association staff in preparation of loan closing documents on all real estate loans and on large and complex commercial loans through both internal and external resources.
  • Provides additional review and drafting of large loans and loan documents
  • Review requirements title insurance commitments and policies and works with both internal and external resources to resolve issues.
20% Staff supervision
  • Selects, trains, motivates and evaluates 8 to 10 positions engaged in the preparation and finaling of legal real estate and commercial loan closing and servicing documents
  • Assigns work and provides work guidance and direction
20% Internal Training and Knowledge Transfer
  • Identifies training and knowledge needs of loan services, finaling and other Association staff in the areas of legal loan contracts.
  • Serves as a resource to Association staff on loan related legal questions.
  • Develops training materials for assigned areas
  • Presents information in formal training sessions and one-on-one sessions on:
    • Title insurance
    • Legal descriptions
    • Real estate and personal property collateral lien perfections
    • Loan servicing actions
    • Legal entities
    • Loan contracts and covenants
    • Regulations of FCA, AgriBank, FSA, CFPB and other governmental agencies
10% Leads the staff which reviews FLCA loans for finaling
  • Reviews loan documents post loan closing to determine the accuracy of title insurance policies, the legality of executed documents, and compliance with all applicable regulations
  • Based on review of documentation, determines if loan is final or deferred
  • Tracks unfinaled loans and ensures follow up on unfinaled loans exceeding one year from closing
 
5% Report Preparation
  • Determines reporting requirements and develops reports to meet management needs
  • Reviews prepared reports for accuracy

  •  Additional legal support to association departments as directed.
  • Review of other contracts and legal documents as requested
  • Other duties as assigned to meet the needs of the organization.

Required Skills

Minimum Qualifications
  • J.D. in Law with experience in agriculture, business, or a related area
  • 6 years of real estate loan law or loan related experience
Required Knowledge and Skills
  • Expert knowledge of laws , regulations and issues related to ownership and transfer of, and security interests in real estate and mortgage lending, including related documentation and closing processes
  • Significant knowledge of state and federal laws and regulations including consumer credit/reporting (including TRID, TIL, ECOA, FCRA, etc.), Uniform Commercial Code and statutory liens affecting real and personal property
  • Skill in leading and supervising staff of loan services specialists
  • Skill in focusing and concentrating on details
  • Skill in interacting diplomatically with internal and external customers of various backgrounds in a high volume setting
  • Oral and written communication skills sufficient to discuss a variety of job-related topics, and to effectively communicate complex topics to a variety of audiences
  • Skill in setting priorities to reflect the importance of job responsibilities
  • Skill in developing, implementing and maintaining quality control measures
  • Skill in utilizing Microsoft Office to increase efficiency and effectiveness
  • Responsible to appropriately protect the confidentiality, security, and integrity of the Association’s systems and data and clients’ data

  • Positions in this class typically require:  fingering, talking, hearing, seeing, and repetitive motions.
